By accessing our website at jogi.ai and/or using our AI automation services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all of these Terms, you must not use our website or services. These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and Jogi AI ("Company," "we," "our," or "us").
Jogi AI provides AI automation consulting and implementation services including but not limited to: AI workflow automation design, development, and deployment; AI chatbot development and integration; CRM and business tool automation and integration; WhatsApp, email, and communication automation; Custom AI agent development; Ongoing monitoring, maintenance, and optimization; and consulting, strategy, and training services. Specific deliverables, timelines, scope, and pricing for each engagement are outlined in individual Service Agreements or Statements of Work (SOW) signed by both parties.
As a client, you agree to: provide accurate, complete, and timely information required for service delivery; grant necessary access to business tools, platforms, and systems needed for automation implementation; designate a primary point of contact for project communication; review and approve automations, workflows, and deliverables within agreed timelines; maintain valid and active subscriptions to all third-party tools required for automations (such as Make.com, Zapier, WhatsApp Business API, CRM platforms, etc.); make payments in accordance with agreed terms; and use our services in compliance with all applicable laws and regulations.
Setup Fees: One-time setup fees are due in full before project commencement. Work will not
begin until setup payment is received.
Monthly Subscriptions: Monthly service fees are billed at the beginning of each billing cycle
and are due within 7 days of invoice date.
Payment Methods: We accept bank transfers, credit/debit card payments, and online payments
via Stripe.
Late Payments: Payments overdue by more than 15 days may result in temporary suspension of
services after written notice. A late fee of 1.5% per month may be applied to outstanding balances.
Taxes: All prices are quoted in US Dollars (USD) and are exclusive of applicable taxes.
Applicable taxes will be added to all invoices as per local government rates.
We strive to deliver reliable automation services with: 99.5% uptime for all deployed automations (excluding scheduled maintenance and third-party downtime); response to support requests within 4 business hours (Starter), 2 business hours (Growth), or 1 business hour (Enterprise); resolution of critical issues within 24 hours; and monthly performance reports documenting automation metrics. Note: We cannot guarantee uptime or performance of third-party services (Make.com, Zapier, WhatsApp, Google, etc.) that our automations depend on.
Client Property: All custom automation workflows, configurations, chatbot scripts, and
solutions specifically built for your business become your property upon full payment of all associated
fees.
Company Property: Our proprietary frameworks, templates, methodologies, internal tools, and
generalized automation patterns remain the intellectual property of Jogi AI.
Restrictions: You may not resell, redistribute, sublicense, or white-label our solutions,
templates, or methodologies without prior written permission. You may not reverse-engineer our proprietary
systems or processes.
Both parties agree to maintain strict confidentiality of all proprietary, sensitive, or non-public information shared during the engagement. This includes but is not limited to: business data, customer information, and databases; trade secrets, strategies, and business plans; financial information and pricing structures; technical architecture and system configurations; and employee and vendor information. Confidentiality obligations survive for 3 years after termination of services. Exceptions include information that is publicly available, independently developed, or required to be disclosed by law.
We handle your data in accordance with our Privacy Policy and applicable data protection laws. We implement enterprise-grade security measures to protect client data. We do not use client data for any purpose other than delivering contracted services. We will promptly notify you of any data breach that affects your information. Upon termination, we will return or delete your data as per your instructions.
To the maximum extent permitted by law, Jogi AI shall not be liable for: indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, data, or business opportunities; damages arising from third-party service failures or downtime; damages resulting from unauthorized access to your systems not caused by our negligence; or any damages exceeding the total fees paid by you in the 3 months preceding the claim. This limitation applies regardless of the theory of liability (contract, tort, negligence, or otherwise).
You agree to indemnify and hold harmless Jogi AI from any claims, damages, losses, or expenses arising from: your breach of these Terms; your misuse of our services; your violation of any third-party rights; or inaccurate information provided by you that leads to automation errors.
By Either Party: Either party may terminate services with 30 days' written notice via
email.
Immediate Termination: We may terminate immediately if you: breach these Terms and fail to
cure within 15 days of notice; engage in illegal activity using our services; or fail to pay fees for more
than 30 days.
Upon Termination: We will complete any in-progress work up to the termination date; provide
comprehensive documentation and handover materials; export your data in accessible formats; cease all access
to your systems and tools; and issue a final invoice for any outstanding fees.
Refunds: Prepaid monthly fees are non-refundable except under our 30-Day Money-Back Guarantee
for new clients.
New clients are covered by our 30-day money-back guarantee. If you are not satisfied with our service within the first 30 days of your initial subscription, we will refund your first month's subscription fee in full upon written request. Setup fees are non-refundable as they cover discovery, strategy, and development work already completed. This guarantee applies only to your first engagement with Jogi AI and cannot be used for subsequent service renewals.
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, pandemics, government actions, internet outages, third-party service failures, or acts of war or terrorism.
In the event of any dispute arising from these Terms or our services: both parties will first attempt to resolve the dispute through good-faith negotiation within 30 days; if negotiation fails, the dispute shall be resolved through binding arbitration in Ahmedabad, Gujarat, in accordance with the Arbitration and Conciliation Act, 1996; the arbitration shall be conducted in English by a single arbitrator mutually agreed upon; and the arbitrator's decision shall be final and binding.
These Terms are governed by and construed in accordance with the laws of India. The courts of Ahmedabad, Gujarat shall have exclusive jurisdiction over any matters not subject to arbitration.
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated revision date. For material changes, we will provide 30 days' notice via email. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall continue in full force and effect.
These Terms, together with our Privacy Policy and any signed Service Agreements or SOWs, constitute the entire agreement between you and Jogi AI regarding the use of our website and services.
